The data room is where diligence physically happens: the place documents are put, read and questioned. For a seller its value is not storage, it is control, because a room lets you decide who sees what and when, and it records that they saw it.

How to structure a virtual data room: due diligence folders by stream
Folders by diligence stream rather than by date: corporate, financial, tax, contracts, people, operations, property, insurance, IT. Consistent file names carrying the period. An index document listing what exists and, importantly, what does not. Buyers work from a request list, and a room that maps to that list removes days of correspondence.
The due diligence data room checklist, staged in phases
Phase one after a non disclosure agreement: the information document and financial summaries with customer names redacted. Phase two after a letter of intent: contracts, detailed financials and employee data. Phase three, sometimes to advisers only: named customer pricing, supplier terms, and anything that would damage you if the deal collapsed and the buyer is a competitor.
What the log is for, and how the data room due diligence checklist is ticked off
Every serious room records who opened what and when. That record has two uses: it tells you which buyer is actually working, which is genuine information about who will close, and it becomes the evidence of what was disclosed when you come to write the disclosure schedules. Keep it.
Questions people ask about due diligence data room
Do I need a paid data room?
For anything with institutional buyers, yes, and they are inexpensive. For a small sale a shared folder with access logging is usually adequate.
Should I watermark documents?
Common practice for sensitive material, along with disabling download for the most damaging items. It deters casual copying rather than a determined one.
Dataroom due diligence: when do I open it?
After a signed non disclosure agreement, and in phases thereafter. Opening everything at once removes your control over the sequence.
