Banks describing themselves as lower middle market are competing for mandates that a larger middle market bank finds too small and brokers cannot run properly. For a seller the useful test is not the label but three specifics: the minimum fee, the buyer list, and who does the work.

The minimum is the fit test
These firms state minimum fees rather than minimum revenues. If the minimum is a small share of your likely price, the process is affordable and worth running. If it is a large share, you are subsidising a structure built for bigger companies, and a boutique or a broker is a better instrument.
The buyer list, tested
Ask how many buyers will be approached, the split between funds and strategic acquirers, and how many the team has actually closed with in the last two years. A list generated from a database is something you could buy; a list of people who return calls is what you are paying for.
Staffing and attention
Smaller banks win mandates on senior attention and sometimes deliver it. Ask who by name runs the process, how many live mandates they carry, and who will be reachable during diligence. The answer to the last question is what you will care about in month seven.
Questions people ask about lower middle market investment bank
How is this different from an M&A adviser?
Often not at all in practice. Bank is a description of the firm rather than a different service for a private seller.
Will they take a business below their minimum?
Occasionally, at the minimum fee, which is a poor deal for the seller. It is usually a sign to look one tier down.
Is a retainer normal?
Yes at this level. Ask whether it is credited against the success fee at closing and what happens to it if you withdraw.
