I want to close my business and walk away: how do you close down a small business, and whether to sell it instead

Sometimes the honest answer is that the business is worth more closed than sold, and sometimes an owner is simply finished. Both are legitimate. What is not legitimate is closing without checking whether somebody would have paid for what you are about to throw away.

Check what could still be sold

Even a business you would describe as failing usually has something with value to somebody who already has the overhead: customer relationships and contracts, a trained team, a lease at below market rent, equipment, stock, a license that is hard to obtain. A competitor may pay for those. It costs a few conversations to find out and the alternative is receiving nothing for them.

What closing involves

Deciding the date and telling employees with the notice their terms and the law require. Settling customer obligations and any work in progress. Terminating the lease or assigning it, which may need the landlord's agreement and may cost money. Selling assets. Paying creditors. Final tax filings and payroll reporting. Canceling licenses, registrations and insurance. Formally dissolving the entity in every state where it is registered.

Where advice is not optional

If liabilities exceed assets, take advice from an insolvency practitioner and a lawyer before doing anything, because directors' duties change as insolvency approaches and the order in which creditors are paid stops being your choice. Where you have given personal guarantees, the difference between the routes is very large and very personal.

Questions people ask about i want to close my business and walk away

Is it cheaper to close than to sell?

Closing has real costs: lease termination, employee entitlements, asset disposal and professional fees. A sale that produces even a modest price often nets better.

How long does closing take?

Weeks to months, driven by the lease, employee notice and final filings. Dissolution itself is administrative once the substance is done.

Can I just stop trading?

No. Obligations continue until they are dealt with, and an abandoned entity with unfiled returns creates problems that follow the people behind it.
