Holdback escrow: how much, how long, and how it is released

A holdback is part of your price kept aside after closing, usually with a neutral escrow agent, to answer claims if something you warranted turns out to be wrong. It is normal, it is negotiable, and its three parameters decide how much of your sale price is actually certain.

The three parameters

Size, expressed as a share of the price. Duration, commonly twelve to twenty four months and matched to the survival period of the warranties. And release mechanics: whether it releases in one installment or in stages, and what happens to disputed amounts at the release date. All three are argued together, because a smaller holdback for longer can be worse than a larger one released quickly.

Claims and disputes

A buyer notifies a claim before the release date and the disputed amount stays in escrow until it is resolved. That is why the notice requirements matter: a claim notice that need only assert a possible claim can freeze the whole balance. Requiring reasonable detail and a good faith estimate in the notice is a small drafting point with a large effect.

Alternatives and interactions

Warranty insurance can shrink or replace a holdback where the deal is large enough for underwriters. A set off right against a seller note does the same job from the buyer's side and should be resisted or capped. Be careful not to give both a holdback and an unlimited set off, which is the same protection charged twice.

Questions people ask about holdback escrow

Is a holdback the same as an escrow?

A holdback is the amount; an escrow is usually where it sits. Some deals hold the money with the buyer instead, which is materially worse for the seller.

Who earns the interest?

Negotiable, and usually the seller since it is the seller's money unless a claim succeeds. Say so in the escrow agreement.

Can I refuse a holdback?

You can negotiate it down, particularly in a competitive process. Refusing it entirely usually means giving something else, such as a longer warranty period.
